Terms and Conditions

1. Definitions

In these Terms and Conditions ("Terms"), the following definitions apply: "Gurustacks", "we", "us", or "our" refers to the business registered at the Netherlands Chamber of Commerce under number 14082961, operating the gurustacks.com platform. "Platform" refers to the Gurustacks website and all associated services. "Creator" means any registered user who publishes Stacks on the Platform. "User" means any person who accesses or uses the Platform, including to browse or subscribe to Stacks. "Stack" means a curated collection of tools, software, or resources published by a Creator on the Platform. "Services" refers to all features and functionality provided through the Platform.

2. Acceptance of Terms

By accessing or using Gurustacks, you agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree to any part of these Terms, you must not use the Platform. We recommend that you read all three documents carefully before creating an account.

3. Eligibility

Gurustacks is available to anyone who can form a legally binding contract under applicable law. By using the Platform, you represent that you have the legal capacity to enter into these Terms. If you are using the Platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

4. Account Registration

To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorised use of your account.

5. The Platform and Services

5.1 What Gurustacks Provides

Gurustacks is a platform where Creators publish curated collections of tools and software recommendations. Users can browse, subscribe to, and interact with these Stacks. The Platform may also provide AI-powered features that analyse publicly available content to identify tools, software, and sponsored content to enrich Stacks.

5.2 No Endorsement

Gurustacks does not endorse, guarantee, or take responsibility for any tools, software, or products featured in Stacks. Stacks reflect the opinions and selections of individual Creators. Any decision to use or purchase a tool listed in a Stack is made at your own risk.

5.3 Availability

We strive to keep the Platform available at all times but do not guarantee uninterrupted access. We may suspend or restrict access to the Platform for maintenance, updates, or circumstances beyond our control, without prior notice or liability.

6. Email Sharing and Creator Communications

6.1 Email Disclosure to Creators

When you sign up for Gurustacks through a Creator's referral link or subscribe to a Creator's Stack, your email address is shared with that Creator. This is a fundamental part of how the Platform operates. Creators may view your email in their dashboard, export or download it, and use it for their own marketing purposes, including outside of Gurustacks.

6.2 Creator Messaging

Creators may send you messages through the Gurustacks messaging system. You can opt out of receiving messages from any specific Creator at any time via your account settings. Once you opt out, the Creator can no longer send you messages through Gurustacks, but data they have already exported is outside our control.

6.3 Creator Responsibility

Creators who receive User email addresses agree to handle that data in compliance with applicable data protection laws, including the GDPR. However, once a Creator exports data from the Platform, they become an independent data controller and Gurustacks is not liable for their subsequent use of that data.

7. Affiliate Links and Commissions

Stacks may contain affiliate links to third-party tools and software. When you click an affiliate link and make a purchase, Gurustacks and/or the Creator may receive a commission. Affiliate commissions do not affect the price you pay. We are committed to transparency: all Stacks that contain affiliate links are identified as such on the Platform. The presence of affiliate links does not constitute an endorsement of the linked product by Gurustacks.

8. Payments and Subscriptions

8.1 Merchant of Record

All payments on Gurustacks are processed by Paddle (Paddle.com Market Limited), which acts as our Merchant of Record. By making a purchase on Gurustacks, you agree to Paddle's terms of service and privacy policy in addition to these Terms.

8.2 Pricing and Billing

Prices for paid features are displayed on the Platform and are inclusive of applicable taxes as determined by Paddle based on your location. Paddle handles all tax collection and remittance.

8.3 Refunds

Refund requests are handled in accordance with Paddle's refund policy and applicable consumer protection laws, including the EU right of withdrawal for digital services. If you have purchased a subscription and wish to cancel, you may do so at any time via your account settings. Cancellation takes effect at the end of the current billing period.

8.4 Revenue Sharing

Creators may earn revenue through the Platform via affiliate commissions and other revenue-sharing arrangements. The specific terms of revenue sharing are set out in the Creator Agreement, which Creators accept upon registering as a Creator on the Platform.

9. Creator Obligations

If you register as a Creator on Gurustacks, you additionally agree to the following: you will only publish Stacks that reflect your genuine recommendations and experience; you will clearly disclose any financial relationships, sponsorships, or affiliate arrangements that may influence your recommendations; you will not use the Gurustacks messaging system to send spam, unsolicited commercial communications unrelated to your Stacks, or abusive content; you will handle any User data you receive through the Platform in compliance with applicable data protection laws, including the GDPR; and you will not misrepresent your identity, qualifications, or affiliations.

We reserve the right to suspend or terminate Creator accounts that violate these obligations, with or without prior notice depending on the severity of the violation.

10. User Conduct

When using Gurustacks, you agree not to: use the Platform for any unlawful purpose; attempt to gain unauthorised access to any part of the Platform or its systems; interfere with or disrupt the Platform's operation; scrape, crawl, or harvest data from the Platform without our written consent; impersonate any person or entity; or upload or transmit any malicious code, viruses, or harmful material.

We reserve the right to suspend or terminate accounts that violate these rules.

11. Intellectual Property

11.1 Our Content

The Gurustacks platform, including its design, code, branding, logos, and original content, is owned by Gurustacks and protected by intellectual property laws. You may not reproduce, modify, distribute, or create derivative works of our content without our prior written consent.

11.2 Creator Content

Creators retain ownership of the content they publish on Gurustacks, including their Stack descriptions, reviews, and recommendations. By publishing content on the Platform, Creators grant Gurustacks a non-exclusive, worldwide, royalty-free licence to display, distribute, and promote that content in connection with the Platform's operation.

11.3 User Content

If you submit any content to the Platform (such as reviews or comments), you grant Gurustacks a non-exclusive, worldwide, royalty-free licence to use, display, and distribute that content in connection with the Platform. You represent that you have the right to submit such content and that it does not infringe the rights of any third party.

12. Disclaimer of Warranties

The Platform and Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the extent permitted by law. We do not warrant that the Platform will be error-free, uninterrupted, or free of harmful components. We do not guarantee the accuracy, reliability, or completeness of any information, tools, or software listed in Stacks.

AI-powered features, including automated content analysis, are provided for informational purposes and may contain inaccuracies. You should independently verify any information obtained through the Platform before relying on it.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Gurustacks shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform, including but not limited to: any losses resulting from reliance on information in Stacks, any actions taken by Creators with your personal data after export from the Platform, any third-party products or services accessed through affiliate links, or any interruption or loss of access to the Platform.

Our total aggregate liability to you for all claims arising out of or relating to the Platform shall not exceed the total amount you have paid to Gurustacks in the twelve (12) months preceding the claim. Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, or any liability that cannot be excluded under applicable law.

14. Account Deletion

You may delete your account at any time via your account settings or by contacting us at [email protected]. Upon account deletion, we will remove your personal data from our active systems within 30 days, subject to any legal retention requirements. Please note that Creators who have already exported your email address prior to deletion will retain that data independently (see Section 6 and our Privacy Policy).

15. Termination

We may suspend or terminate your access to the Platform at any time if we reasonably believe you have violated these Terms, with or without prior notice depending on the severity of the violation. Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination (including Intellectual Property, Limitation of Liability, and Governing Law) shall continue to apply.

16. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by email or through a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of Gurustacks after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and may delete your account.

17. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising out of or in connection with these Terms shall be submitted to the competent courts in Maastricht, the Netherlands, unless mandatory consumer protection law requires otherwise. If you are a consumer within the EU, you may also make use of the European Commission's Online Dispute Resolution platform at ec.europa.eu/odr.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
